1. General Powers - Specific duties and powers are contained in Appendix B

2. Offices, Election and Terms
The Officers of this Association shall be a President of the Board of Directors, a President Elect of the Board ("President Elect”), an Army National Guard Vice President of the Board ["Vice President (Army)”], an Air National Guard Vice President of the Board ["Vice President (Air)"], an Executive Director of the Board, a Treasurer, and a Secretary.

a. The President and the President Elect shall be elected at a General Conference for a concurrent term of two years. The President Elect shall succeed the President upon the expiration of the President’s term of office.
b. The Secretary and the Treasurer shall be elected at a General Conference for a concurrent term of two years, such term to begin coincident with the second year of the term of the President and the President Elect. There are no restrictions on the successive terms of the Secretary or the Treasurer.
c. The Vice President (Army) and the Vice President (Air) shall be elected at a General Conference for a term of two years. A Vice President may succeed themself one time.
d. The Executive Director shall be retained by and serve at the pleasure of the Board. There is no limit to the number of times an Executive Director may succeed themself.

3. General Duties of Officers

a. The President shall preside at General Conferences and all meetings of the Board. The President and one member of the executive director team shall be an ex-officio member of all Committees.
b. In the absence of the President or in the event of a vacancy in the office of President, the President Elect shall succeed.
c. The President shall have such powers as the Board shall confer on them.
d. The President and the Treasurer shall have the authority, jointly or severally, to sign, execute and deliver in the name of the Association any deed, mortgage, bond, instrument, agreement, or other document evidencing any transaction authorized by the Board.
e. In the absence of any Officer, or for any other reason which the Board may deem sufficient, the Board may delegate the authorities and duties of any Officer to any other Officer or to any Director.

4. Resignation

a. Any Officer may resign at any time by giving written notice to the President or President-Elect which shall become effective at the time specified therein.
b. Any vacancy by reason of this section may be filled at the next meeting of the Board or via electronic vote coordinated by the President.

5. Removal and Appointment

a. Any Officer may be removed by the Board, with cause, at any time by a two-thirds vote (15 Board members) of the Board.
b. Any vacancy by reason of this section may be filled at the same meeting of the Board.
